TERNWHEEL, INC. TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the websites, mobile applications, software, products, financial technology features, and other services provided by Ternwheel, Inc. (“Ternwheel,” “we,” “us,” or “our”), collectively, the “Services.”
Please read these Terms carefully. By creating an account, accessing the Services, purchasing a subscription, or otherwise using the Services, you agree to these Terms and our Privacy Policy.
If you use the Services on behalf of a company, artist, band, agency, management company, tour, production company, or other organization, you represent that you have authority to bind that organization to these Terms.
ELIGIBILITY
You must be at least 18 years old and legally able to enter into a binding contract to create a Ternwheel account.
Certain financial services have separate eligibility requirements established by Ternwheel’s banking partners and service providers.
You agree to provide accurate, current, and complete information and to keep your information current.
TERNWHEEL SERVICES
Ternwheel provides software and technology for live entertainment operations.
Features include, depending on your account and subscription:
• Tour and event management
• Scheduling and run-of-show management
• Travel and hotel information
• Crew and team communication
• Guest lists
• Budgeting
• Expense tracking
• Settlements
• Financial reporting
• Document and information storage
• Notifications
• Data import and assisted data entry
• Financial account connections
• Banking-related functionality
• Business deposit accounts
• Business debit cards
• Transaction reconciliation
• Other features introduced from time to time
Features, availability, limits, and pricing differ by plan and jurisdiction.
We reserve the right to modify, add, discontinue, or limit features, subject to applicable law and contractual obligations.
ACCOUNTS AND SECURITY
You are responsible for maintaining the confidentiality and security of your account credentials.
You are responsible for activity conducted through your account, except where applicable law provides otherwise.
You agree to notify Ternwheel promptly if you suspect unauthorized access to your account.
Organizations are responsible for managing access provided to employees, contractors, artists, crew members, managers, accountants, agents, and other collaborators.
Ternwheel provides permissions and access controls, but the organization controlling an account is responsible for determining who receives access to its information.
ORGANIZATION AND TEAM ACCOUNTS
A Ternwheel account might contain information belonging to an artist, tour, company, team, or other organization.
If an organization provides you access to Ternwheel, the organization might control your access and certain information associated with your account.
Account administrators might add or remove users, change permissions, access organizational information, or terminate a user’s organizational access.
You are responsible for obtaining all required permissions before adding another person’s information to Ternwheel.
SUBSCRIPTIONS AND BILLING
Certain Services require a paid subscription.
Prices, billing periods, included users, feature limits, and other plan details appear during signup or purchase.
By purchasing a recurring subscription, you authorize Ternwheel and its payment providers to charge your selected payment method at the beginning of each billing period until cancellation.
Unless otherwise stated, subscriptions renew automatically for successive periods matching your selected billing cycle.
You will receive disclosures required by applicable automatic-renewal laws during the purchase process.
You are responsible for applicable taxes.
CANCELLATION
You may cancel a paid subscription using the cancellation functionality available within your account or through another cancellation method Ternwheel makes available.
Cancellation stops future subscription renewals. Unless required by law or stated otherwise at purchase, cancellation does not generate a refund for amounts already paid, and your paid access continues through the end of your current billing period.
We will not make cancellation materially more difficult than enrollment where applicable law requires a simple cancellation mechanism.
FREE SERVICES AND TRIALS
Ternwheel might offer free plans, promotional access, beta features, or trials.
We reserve the right to establish or change limits associated with free or promotional Services.
If a trial converts to a paid subscription, the applicable price, renewal terms, and cancellation information will be disclosed before the user incurs a recurring charge.
BANKING AND FINANCIAL SERVICES
Ternwheel is a financial technology company. Ternwheel is not a bank.
Banking services made available through Ternwheel are provided by i3 Bank, Member FDIC, through Unit and other applicable service providers.
Deposit accounts are issued by i3 Bank, Member FDIC.
Visa® business debit cards are issued by i3 Bank pursuant to a license from Visa U.S.A. Inc. and are subject to the applicable cardholder agreement.
Eligibility for pass-through FDIC deposit insurance depends on applicable law, account structure, recordkeeping, and satisfaction of FDIC requirements. FDIC insurance does not protect against the failure of Ternwheel or other non-bank companies.
Financial products are subject to separate agreements, disclosures, eligibility requirements, transaction limits, compliance requirements, and other terms supplied during enrollment.
Those financial agreements govern the applicable financial product if they conflict with these general Terms regarding that product.
FINANCIAL ACCOUNT INFORMATION
Certain features allow you to connect external financial accounts or import financial information.
Ternwheel and its service providers might receive account information, balances, transactions, account identifiers, institution information, and related financial data to provide these features.
You authorize Ternwheel and applicable providers to access and process information necessary to provide the features you request.
You represent that you have authority to connect any account you add to Ternwheel.
TRANSACTIONS AND FINANCIAL INFORMATION
Ternwheel provides software tools for viewing, categorizing, organizing, and reconciling financial information.
Information displayed within Ternwheel might originate from banks, payment networks, financial-data providers, users, or other third parties.
You are responsible for reviewing transaction information and financial records for accuracy.
Ternwheel does not provide accounting, tax, investment, financial-planning, or legal advice.
Budgets, settlements, projections, reports, classifications, analytics, and similar information provided through Ternwheel are operational tools and should not replace professional financial or accounting advice.
BANKING SERVICE AVAILABILITY
Banking and payment systems depend on banks, payment networks, financial institutions, service providers, regulatory requirements, and external infrastructure.
Transactions might be delayed, rejected, reversed, suspended, or unavailable for reasons outside Ternwheel’s control.
Nothing in these Terms guarantees transaction timing, continuous banking availability, payment acceptance, credit availability, or access to a particular financial product.
USER CONTENT
“User Content” means information, files, images, documents, messages, schedules, guest lists, budgets, settlement information, travel information, financial information, and other material submitted to the Services by users.
You retain ownership of your User Content.
You grant Ternwheel a limited, worldwide license to host, store, reproduce, transmit, process, display, and otherwise use User Content as necessary to operate, secure, maintain, support, and improve the Services.
This license does not transfer ownership of your User Content to Ternwheel.
You represent that you have the rights and permissions needed to provide User Content to Ternwheel.
INFORMATION ABOUT OTHER PEOPLE
Tour operations frequently involve information concerning artists, employees, crew members, contractors, guests, vendors, and other individuals.
You are responsible for ensuring you have an appropriate legal basis or permission to submit this information to Ternwheel.
This includes names, phone numbers, email addresses, travel information, hotel information, identification information, guest-list information, financial information, and other personal information.
GUEST LISTS
Users might collect or submit guest information through Ternwheel.
The organization or user operating a guest list is responsible for determining the lawful purpose for collecting guest information and for providing any notices or obtaining any permissions required by applicable law.
Ternwheel processes guest information as described in our Privacy Policy and applicable agreements.
ARTIFICIAL INTELLIGENCE AND AUTOMATED FEATURES
Certain Ternwheel features use machine learning, artificial intelligence, automated extraction, or similar technologies to assist with tasks such as data entry, document processing, categorization, summaries, or recommendations.
AI-assisted outputs might contain errors.
You are responsible for reviewing AI-assisted outputs before relying on them for operational, financial, contractual, safety, employment, or other material decisions.
Unless expressly stated otherwise, Ternwheel does not use automated systems to make legally binding decisions about individuals without human involvement.
ACCEPTABLE USE
You must not:
• Use the Services for unlawful, fraudulent, deceptive, or abusive activity.
• Access another person’s account without authorization.
• Attempt to bypass security controls.
• Interfere with the operation or security of the Services.
• Introduce malware or harmful code.
• Scrape or extract data through unauthorized automated methods.
• Reverse engineer the Services except where applicable law expressly permits such activity.
• Use the Services to violate intellectual-property, privacy, publicity, or other rights.
• Submit information you lack authority to provide.
• Use financial services for prohibited transactions or unlawful activity.
• Misrepresent your identity or authority.
• Use Ternwheel to facilitate money laundering, sanctions evasion, fraud, or other financial crime.
Financial products are also subject to separate prohibited-activity rules supplied by the applicable financial provider.
COMPLIANCE AND VERIFICATION
Financial services might require identity verification, business verification, beneficial-owner information, tax information, sanctions screening, fraud monitoring, anti-money-laundering review, or other compliance procedures.
You agree to provide accurate information reasonably requested for these purposes.
Access to financial features might be restricted, delayed, suspended, or terminated where required by law, a banking partner, a payment network, a regulatory obligation, or applicable financial-services agreements.
THIRD-PARTY SERVICES
The Services integrate with third-party products and services.
Third-party services are governed by their own terms and privacy practices.
Ternwheel does not control third-party services and is not responsible for their independent actions, availability, security, or performance except to the extent required by law.
MOBILE APPLICATIONS
Your use of a Ternwheel mobile application might also be subject to terms imposed by the applicable app marketplace or device platform.
Mobile functionality depends on your device, network connection, operating system, permissions, and notification settings.
INTELLECTUAL PROPERTY
Ternwheel and its licensors own the Services, including software, interfaces, designs, trademarks, logos, documentation, and other proprietary materials, excluding User Content.
Subject to these Terms, Ternwheel grants you a limited, nonexclusive, nontransferable, revocable right to use the Services for their intended business purposes.
No rights are granted except those expressly stated in these Terms.
FEEDBACK
If you provide suggestions, ideas, or feedback concerning Ternwheel, you grant Ternwheel permission to use such feedback without restriction or compensation to you.
SERVICE AVAILABILITY
We work to maintain reliable Services but do not guarantee uninterrupted or error-free operation.
Maintenance, infrastructure failures, third-party outages, internet disruptions, security events, regulatory actions, and other circumstances might affect availability.
BETA FEATURES
Ternwheel might identify certain features as beta, preview, experimental, or early access.
Such features might change, contain errors, or stop operating.
You use beta features subject to any additional terms presented with them.
SUSPENSION AND TERMINATION
Ternwheel might suspend or terminate access if:
• You materially violate these Terms.
• Your use creates security or legal risk.
• Fraud or unauthorized activity is suspected.
• Required by law or regulatory authority.
• Required under an applicable financial-services agreement.
• A banking or financial-services partner requires restriction.
• Fees remain unpaid.
• Continued service creates material risk to Ternwheel or other users.
Where appropriate and legally permitted, we will provide notice.
You may stop using Ternwheel at any time.
ACCOUNT DELETION
Ternwheel provides account-deletion functionality.
Deleting an account does not necessarily require immediate deletion of every record.
We might retain information required for legal compliance, financial recordkeeping, fraud prevention, dispute resolution, security, tax obligations, banking obligations, contractual requirements, backup systems, or other legitimate purposes described in our Privacy Policy.
DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TERNWHEEL DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
TERNWHEEL DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, ERROR-FREE, SECURE, OR ACCURATE.
Nothing in this section limits rights that applicable law does not permit you to waive.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERNWHEEL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL ARISING FROM OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERNWHEEL’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TERNWHEEL FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
(B) $100.
These limitations do not apply where prohibited by law.
FINANCIAL-SERVICES LIABILITY
Banking services and financial products are governed in part by separate agreements with the applicable financial institution or provider.
Nothing in these Terms limits liability or consumer protections established by applicable banking law or those separate agreements.
INDEMNIFICATION
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Ternwheel and its officers, directors, employees, affiliates, and agents from third-party claims, losses, liabilities, and reasonable expenses arising from:
• Your unlawful use of the Services.
• Your material violation of these Terms.
• User Content you submit.
• Your violation of another person’s rights.
• Your failure to obtain required rights or permissions for information submitted to Ternwheel.
ELECTRONIC COMMUNICATIONS
You agree to receive account-related communications electronically, including service notices, security alerts, transaction-related communications, policy updates, and legally required electronic disclosures where permitted by law.
Financial services might require separate consent to electronic communications.
MARKETING COMMUNICATIONS
Marketing emails and promotional communications are separate from essential account and transaction communications.
You may unsubscribe from marketing email using the unsubscribe mechanism provided in those messages.
CHANGES TO THESE TERMS
We might update these Terms as our Services, business, technology, or legal obligations change.
When required, we will provide notice before material changes take effect.
The updated Terms will display a revised “Last Updated” date.
Your continued use after the effective date of revised Terms constitutes acceptance where permitted by law.
GOVERNING LAW
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
DISPUTES
Before filing a formal claim against Ternwheel, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.
Unless applicable law requires otherwise, disputes that proceed in court will be brought in the state or federal courts located in San Francisco County, California, and each party consents to jurisdiction and venue there.
Nothing in these Terms prevents either party from seeking appropriate injunctive relief or pursuing a claim in small claims court where eligible.
SEVERABILITY
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.
NO WAIVER
Failure by Ternwheel to enforce a provision of these Terms does not waive our right to enforce the provision later.
ASSIGNMENT
You may not assign these Terms without Ternwheel’s written consent.
Ternwheel might assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, or sale of assets, subject to applicable law.
ENTIRE AGREEMENT
These Terms, the Privacy Policy, applicable financial-services agreements, and any other terms expressly incorporated by reference form the agreement between you and Ternwheel concerning the Services.
